Prime Works India provides digital services including but not limited to:
- Website design and development
- Lead generation campaign setup and management
- Business process automation
- Custom software and application development
- Digital consulting and business audits
Project Agreements
Each project will be governed by a separate proposal or statement of work that outlines the specific scope, deliverables, timeline, and cost. These Terms of Service apply to all such engagements.
Free Consultations
Free consultations are offered at our discretion and do not constitute a binding agreement or guarantee of service delivery. A formal proposal and payment are required to initiate any project.
3. Payment Terms
Fees and invoicing
All fees are as agreed in the project proposal. Unless otherwise stated in writing:
- A deposit of 50% of the total project fee is due before work begins
- The remaining 50% is due upon project completion before final handover
- Monthly retainer fees (e.g. lead generation management) are invoiced at the start of each month
Late payments
Work may be paused on projects with outstanding invoices beyond 7 days of the due date. We reserve the right to charge interest on overdue amounts at 2% per month.
Refunds
Deposits are non-refundable once work has commenced. Refunds for completed work are not provided except in cases where we have materially failed to deliver the agreed scope. Each case will be assessed individually and in good faith.
Currency
All fees are quoted and invoiced in Indian Rupees (INR) unless otherwise agreed in writing.
4. Client Obligations
To enable us to deliver services effectively, you agree to:
- Provide all required content, materials, images, and information in a timely manner
- Provide prompt feedback during review and approval stages
- Ensure you have the rights to all content and materials you supply to us
- Appoint a primary point of contact for the project
- Not use our services for any unlawful, harmful, or fraudulent purpose
Delays caused by late provision of client materials may affect project timelines. We are not responsible for delays caused by client-side factors.
5. Intellectual Property
Client ownership upon full payment
Upon receipt of full payment, you will own all deliverables created specifically for your project, including website files, custom code, and design assets.
Our retained rights
We retain the right to use your project in our portfolio and case studies unless you request otherwise in writing. We also retain ownership of any pre-existing tools, frameworks, templates, or methodologies used in your project.
Third-party assets
Certain elements (fonts, stock images, plugins, themes, third-party APIs) may be subject to their own licensing terms. We will inform you of any such elements and you are responsible for ensuring ongoing compliance with those licenses.
Before full payment
All work remains the intellectual property of Prime Works India until payment is received in full. We reserve the right to withhold delivery of final files until outstanding balances are cleared.
6. Confidentiality
Both parties agree to treat as confidential any proprietary or sensitive information shared during the course of the project, including business processes, customer data, financial information, and strategic plans.
This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
We take your business information seriously and will never share it with third parties for commercial purposes.
7. Warranties & Disclaimers
What we warrant
We warrant that we will perform services with reasonable skill and care, and that deliverables will substantially conform to the agreed specifications at the time of handover.
What we do not warrant
We do not guarantee specific business outcomes such as a particular number of leads, sales conversions, search engine rankings, or revenue increases. Results from digital marketing, lead generation, and automation services depend on many factors outside our control, including market conditions, product quality, and your follow-up processes.
Our website and services are provided "as is" without warranties of any kind beyond those stated above.
8. Limitation of Liability
To the maximum extent permitted by law, Prime Works India shall not be liable for:
- Indirect, incidental, or consequential damages arising from your use of our services
- Loss of profits, revenue, data, or business opportunities
- Damages arising from third-party services, platforms, or tools used as part of your project
- Any losses caused by your failure to follow our recommendations or provide accurate information
In any event, our total liability to you shall not exceed the total fees paid by you for the specific service giving rise to the claim in the three months preceding the incident.
9. Termination
By you
You may terminate a project or retainer engagement with 14 days written notice. You will be responsible for payment of all work completed up to the date of termination. Deposits are non-refundable.
By us
We reserve the right to suspend or terminate services if you breach these terms, fail to make payments, or engage in conduct that we determine to be harmful, illegal, or unethical. We will provide reasonable notice where possible.
Effect of termination
Upon termination, all outstanding amounts become immediately due. Ownership of deliverables transfers to you only upon receipt of full payment for work completed.
10. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh, India.
We encourage resolution of any disputes through good-faith discussion before pursuing formal legal proceedings.
11. Changes to Terms
We reserve the right to update these Terms of Service at any time. Changes will be effective upon posting to our website. We will update the "Last Updated" date at the top of this page.
Your continued use of our services after any changes constitutes acceptance of the revised terms. We recommend reviewing this page periodically.
